1. DEFINITIONS

For purposes of this License:

associated files made available under this License.

"Qualified Non-Profit Entity" means a legally registered non-profit
organization, an accredited educational institution (including schools,
colleges, and universities), or a government-funded public research

grants a limited, non-exclusive, non-transferable, revocable license to use,

2.1 Non-Commercial Use (Free)

Any individual or organization may, free of charge:
- use, copy, modify, and distribute the Software for Non-Commercial Use;
- create derivative works of the Software for Non-Commercial Use; and

  demonstrations, testing, and educational purposes.

2.2 Qualified Non-Profit Entity Use (Free)

Qualified Non-Profit Entities may, free of charge:
- use the Software for purposes related to their non-profit, educational,
  academic, or public-interest mission, including mission-aligned activities
  that may generate revenue, provided that such revenue is used exclusively to
  support the entity's non-profit objectives;
- deploy the Software in production environments operated by or on behalf of
  the Qualified Non-Profit Entity; and
- modify the Software and create derivative works, provided that such use
  remains within the scope of this Section 2.2.

2.3 Commercial Use (Separate License Required)

Any Commercial Use of the Software by any individual or organization that is
not a Qualified Non-Profit Entity requires a separate commercial license
agreement from the copyright holder.

3. CONDITIONS

All use of the Software, whether free of charge or pursuant to a separate
commercial license, is subject to the following conditions:

3.1 Attribution and Branding

You must retain all copyright notices, this License text, and any "Powered by
QuantDinger" or similar branding, watermark, or attribution notices included in
the Software or any derivative works. You may not remove, obscure, alter, or
misrepresent such branding, watermark, or attribution without prior written
permission from the copyright holder.

3.2 No Sublicensing

You may not sublicense the Software, or grant to any third party rights that
exceed those granted under this License, unless expressly authorized under a
separate commercial license agreement.

3.3 No Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS,
IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF

3.4 Limitation of Liability

SOFTWARE OR THE USE OF OR INABILITY TO USE THE SOFTWARE.

3.5 Verification of Qualified Status

If you are a Qualified Non-Profit Entity relying on rights granted under
Section 2.2, you agree to provide reasonable evidence of your qualifying status
upon request by the copyright holder.

4. TERMINATION

This License, and all rights granted under it, shall terminate automatically if
you fail to comply with any of its terms or conditions.

Upon termination, you must immediately cease all use of the Software and
destroy or permanently remove all copies of the Software in your possession or
control, except to the extent retention is required by applicable law.

5. GOVERNING LAW

This License shall be governed by and construed in accordance with applicable
law, without regard to conflict-of-law principles that would require the
application of the laws of a specific jurisdiction.

Any dispute arising out of or in connection with this License shall be resolved

remedies, or protections available under applicable law.
